Whereas “CABBY” for Electronic Transport Services CO. L.L.C., through contracting with other parties, strive to engage as the other professional companies in field of Passengers Transport Services, through group of skilled & professional well reputation & high qualification trained according to highest levels in Cars Driving, Passengers Transport & Customers Services.

Based on that, “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., aim through this agreement to ensure the impotency of adherence to decisions & obligations to regulate relation between “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., and its other clients, presuming that it is the document of standards & principles,

which to consolidate transparency, ensure clients’ participation, and maintain the support of co-operation through identification of consequent responsibilities in order to preserve legal & immaterial rights for all parties according to applicable initials & rules in the United Arab of Emirates.

3. AGREEMENT

This agreement, contains most of general applicable conditions for the clients’ usage of services & techniques of “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., including terms of VAT as in the United Arab of Emirates.

4. SCOPE

Service provider hereby, adhere through this agreement to act by the smart application and communication web-sites to transport the individuals against payment with price control to each trip according to prior agreed timeline and destination. “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., provide the option to clients & users to apply his / their request for a car / Transport through the application, with respond to the same with the proper information about nearest available car to the user / client location and price of trip limitation.

Accordingly, through this application “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., practice as intermediate against percentage of each transport operation represented by Partners of Service Provider / Transport / Drivers, whereas, Passenger apply his request for a CAB and define his trip, at the same time “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., send that request to the nearest available company dependent car within geographic compass and passenger location, thereupon to deduct an amount from the driver payment. Considering that, user / Client access to the service of “CABBY “for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., and using it will be considered as a confirmation for a commitment to these terms, which establishes a contractual relation between both Client / User & “ CABBY “for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., if Client / User doesn’t agree to these terms, he may not be subsequently obtain or use services.

L.L.C., collects Data which considered as an asset to activate service of the APPLICATION at highest level, data to be collected through clients / users upon the process to create their own accounts or updating it, OR by requests through payment option as (GUEST), includes information as: name, email, contact number, registration name & password, address, profile, payment method, banking details, (including related verification information), other documents issued by government departments that includes related information such as emirates identification card number (E.I.D NO.), date of birth, in addition to communication data in case of emergency, user/client setting data, health & fitness book of directory in order to provide necessary services upon requirement through the application of “CABBY” for ELECTRONIC SERVICES CO. L.L.C.

6. DATA: SECURITY & COMMUNICATION

“CABBY” for ELECTRONIC TRANSPORT SERVICES CO. “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.C., has the right & entitled to obtain Drivers following documentation: scanned copies of the Emirates Identification Documents, users / clients personal photos and / or Identification Documents issued by entitled Government Departments, and personal identity documents as driving license & passports, which can be used as prove and verify identity & document within the applicable rules of security and safety systems in the United Arab of Emirates, and Emirates of Dubai in particular.
The same applies to collecting demographic data such as date of birth (age), gender & occupation / profession, this might be done upon receipt of service or to be presented as per request of user / client. 13. RETAIN AND DELETE OF DATA

L.L.C. reserves the right to create, cancel or review transport fees at any time according to absolute discretion of “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C. Moreover, user / client acknowledges and accepts that fees may be increased due to high demand. Debit and credit cards, visa, MasterCard or accepted payment partner, for payment in U.A.E. Dirham.

L.L.C., will not trade with or provide any services to OFAC (Office of Foreign Assets Control) and sanctioned countries in accordance with law the of United Arab of Emirates. User / client who use the website are not allowed to permit minors under age of (18) years to register as a user / client of the website and not allowed to deal with or use it.

20. APPLYING VAT ON TRIP FEES

Implementation of duly followed instructions of Federal Tax authority in the United Arab of Emirates, and in the Emirate of Dubai in particular. Value of added tax (VAT) on the total transportation fare is calculated based on prevailing rate. L.L.C., will seek to refund value added tax (VAT) from amounts that may later be returned to the Company by Federal Tax Authority.

21. REFUND OF VALUE OF ADDED TAX (VAT)

“CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., will not provide any guarantees for recovery of calculated amounts of value-added tax (VAT) on entire transportation fare by Federal Tax Authority in the United Arab of Emirates.

22. COMPENSATION

User / client agrees -for his part-, to indemnify and hold “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., its officers, directors, employees and agents harmless from all claims, losses, liabilities and expenses (including fees of attorney) that may result due to his use of services.
User / client breaching or violation to any of conditions.
Using “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., as user / client user content.
User / client violation to the rights of any of the external parties, including external service providers.

23. APPLICABLE RULES & REGULATIONS

User / client acknowledges & accepts his full consent not to provide any defamatory user, slanderous, hateful, violent, obscene, illegal, pornographic or offensive or any other outline, or any content that would offend laws and regulations or otherwise, this governed by fundamentally applicable law in the United Arab of Emirates, and in Emirates of Dubai in particular.

24. LAW IN CASE OF DISPUTE

In event of any dispute, it is to be resolved amicably, and if amicable means do not succeed DUBAI courts specialized to resolve arises disputes between service provider, drivers, consumers (users / clients), according to fundamentally applicable law in the United Arab of Emirates, and in the Emirates of Dubai in particular.

25. LIMITATION OF LIABILITY

“CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., will not be responsible for indirect, incidental, special exemplary, punitive or consequential damages, including loss of profits, loss of data and information, personal injury or damage to property related to and resulted in any way from the use of “CABBY” for ELECTRONIC TRANSPORT SERVICES L.L.C., electronic services, even if been informed with possibility of occur of such damages, “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., will not be responsible for any damages or losses arises due to:
User’s / client’s use of, reliance on, or inability to access the service or using it.
Any Commercial transaction or relation between user / client and an external service provider, even if “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., been informed of possibility of such occurring damages. “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., will not be responsible for delays or failures arising due to causes beyond its reasonable control or otherwise. User / client –for his part-, acknowledges that third party transportation services providers who provide these requested services through some means of orders may provide ride-sharing services or transportation services from peer-to-peer, and that they may not be licensed or authorized professionally, and under no circumstances “CABBY” for ELECTRONIC SERVICES CO. L.L.C., may total liability towards user / client in relative to services ONE THOUSAND DIRHAMS, (as minimum) against repair and cleaning fees. User / client will bear full responsibility for the cost of damage repair due to use of services included in his account in excess of resulted damages from normal misuse and necessary cleaning in event that external services provider reports about his need for repair or clean, and request is approved by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., based on its reasonable estimate. “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.LC., reserves the right to facilitate the cost of repair on behalf of external services provider using specified payment method in user / client account, and to be transferred by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., to the relevant service provider and will be considered as non-refundable.

26. GENERAL TERMS

Driver will receive a commission of (78%) of each completed trip, and “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., has the right to reduce & increase this percentage according to income to be achieved, classifying commission as dynamic.
Driver must be connected to internet -on request- at least for (25) days per month, to maintain his rewards program.
Driver must achieve & complete, at least (30) trips per month to maintain his rewards program.
Any breaching or violation to mentioned terms & conditions will cancel rewards program. Thus, driver will only receive his share of trips value without a reward in next month till further notice.
This application includes all users / clients of electronic services of “CABBY” for ELECTRONIC SERVICES CO. L.L.C., unless they use service covered by a separate privacy notice, noting that notice includes following categories exclusively:

PASSENGERS: Individuals who request or receive transport service and related services through their account with “CABBY” for ELECTRONIC SERVICES CO. L.L.C.

DRIVERS: Individuals who provide transportation to passengers individually or through transportation partner companies.

TRANSPORT PERSONNEL: Individual / drivers who provide services through application of “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C.

27. PROVIDED SERVICES

Provided services by “CABBY” for ELECTRONIC SERVICES CO. L.L.C., constitute a technical plat-form that enables users of its mobile phones application and websites services, which are available as provided services each of referred to as an application, to manage the co-ordination and scheduling of transportation and logistical services with external independent parties provider of these services, including external service provider and external independent logistic service provider according the agreement with “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., or some of its sub-partners (external service providers), service to be provided for the personal uncommercial use of user / client, unless “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., agree otherwise in separate written agreement with user / client who acknowledges in return that “CABBY” for ELECTRONIC TRANSPORT SERVICES L.L.C., do not provide transport services or logistic services or operate as a transport company, and all transport services or logistic services provided by external independent contractors those do not work for “CABBY” foe ELECTRONIC TRANSPORT SERVICES CO.L.L.C.,

28. RESTRICTIONS

User / client has no right to remove any copyright, trademark or other proprietary notices from any part of the services or reproduce the service, modify, make derivative works of, distribute, license, lease, sell, resell, transfer or display services, publicly, broadcast, circulate, publish or exploit in any other way, except as expressly permitted by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., or tampering with, reverse engineering, or disassembling its codes, except as permitted by applicable law in the United Arab of Emirates, and in the Emirates of Dubai in particular, or create a link to any part of the services, mirror or frame any part of it, or create or cause to be created any programs or scraping, indexing, scanning, or otherwise exploiting any part of the services, or burdening or hindering the operation or function of any part of the service, inappropriate manner services, or attempt to gain unauthorized access to the services or damage any of its aspects or any of the systems and networks that related to.

29. THE PROVISION OF SERVICES

Acknowledges that it is possible to ease portion of services as available under brand of “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., or request options associated with logistic transport services, including sorts of transportation services currently referred to as “CABBY” for ELECTRONIC SERVICES CO. L.L.C., and acknowledges that possible to provide services through this brand or by request options or in connection with independent external service providers (third party), including network company drivers or holders of permits according Transport Charter or holders of similar transport permits or license.

30. THIRD-PARTY (EXTERNAL PARTY) SERVICES AND CONTENT

Services can be provided or facilitate access to, in conjunction with services and content of external parties (including advertising / publicity), which are not subject control of “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., (including advertising / publicity), and acknowledges validity acceptance of terms & conditions of the usage & different privacy policy, other than usage of third-parties (external parties) services & content. “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., do not approve services and content of third-parties (external parties), and do not bear towards any of third-parties (External parties), in addition to that, it considers (Apple) and (Google) and (Microsoft Corporation) or (Black Berry Ltd.) and / or (associated companies) respective subsidiaries, affiliates and international companies are external beneficiaries of this contract if any access to the services using applications designed specifically for mobile phones devices running operation system of (Apple IOS) or (Android) or (Microsoft Windows) or (Black Berry Ltd.) respectively. These external beneficiaries are not considered as parts of this contract, and will not be responsible to provide services or support it in any way. Access to services using these devices is subject to stipulated terms & conditions in applicable terms of service of external beneficiary.

31. REQUIREMENT AND BEHAVIOUR

Services is not obtainable for use by individuals under (18) years of age, and user / client is not entitled to authorize anyone or enable others to use his account. Individuals under (18) years of age not allowed to obtain transport services and logistic services through external providers unless they are accompanied by user / client. Also, user / client is not permitted to waive of his account or to transfer its ownership to another individual or entity.
Also, user / client is obligated to agree to abide by, comply with the entire fundamentally applicable law & rules in the United Arab of Emirates, in the Emirate of Dubai in particular, upon using services that provided by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., except to be for Legal purposes (for example, but not as conclusion: not to transfer illegal dangerous materials), user / client has no right, upon use of granted obtained services to cause harm, damage, or disturb or harass other or cause property damage, whether to external or any other parties.
In some cases, it may be necessary to user / client to provide proof of identity to be enabled to access or use services, and he must understand that if he reject request of identity proof he will not be entitled for use of services & will be prevented to obtain & use all of it.

32. TEXT MESSAGES

Once account is created, user / client agrees that services may send him some informational text messages as a normal part of business context of his use of services. User / client has the right to refuse – at any time - receipt of text messages by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., (upon availability), through forwarding an e-mail to “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.C, in this regard explain through that his unwillingness to receive more of these messages, and to include his mobile number on which he receives messages, and to acknowledge, on his part that refusal to receive these messages may affect his use of services; some of or all of it in general.

33. PROMOTIONAL CODES

SUBJECT TO AVAILABILITY

L.L.C., entitles to create promotional codes – on need -, and may redeemed and added to the account, as well as with regard to other features or benefits related to services, and / or service of external service providers subject to any additional conditions set by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., on basis of each promotional code in particular. Regarding promotional codes, user / client must agree to the following:
Not to be copied, sold, or to transfer its ownership –by any way – or to be made as available for public (whether published on public form or otherwise), unless expressly permitted by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C. It may be disabled by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., for any reason without bearing any legal responsibility towards the same. To be used – only - according to the especial conditions situated by “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., for each promotional code. Not appropriate / valid for cash payment method.
It may expire prior use by user / client, and “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., preserve right to withdraw or deduct added codes by user / client, and this is in event that “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., becomes aware or find that use or redemption of promotional codes was wrong fraudulent, illegal or constitutes a violation of the applicable terms or these conditions.

34. TERMS AND CONDITIONS

Car can be only being used as a mean of transportation by person / persons that name / names mentioned in request of service, whether user / client or contracted approved Driver.

35. IMPORTANT INFORMATION

All fees related to service request will be charged to approved credit card in his personal account.
In order for user / client to be able to benefit from his insurance coverage in the event of any damage, he must report incident by calling emergency & police of traffic, stay not to leave the vehicle or the accident site.
At the end service, user / client must check his personal belongings inside the vehicle. Remaining Personal belongings inside the vehicle lies on user / client, “CABBY” for ELECTRONIC TRANSPORT SERVICES CO. L.L.C., cannot be hold responsible for loss of any property carried or left in the vehicle by user / client. Also, user / client releases “CABBY” for ELECTRONIC TRANSPORT SERVICES CO.
L.L.C., from liability completely against any claim, judicial procedures, accusations, complaints and damages that may occur as result of such loss or damage, or in connection herewith.
TRAFICC FINES:
Payment of any issued traffic fines as a result of non-compliance with traffic rules (including entering incorrect lane on bridges and highway), is obligated by: Service Provider (second party) and its drivers, according to mentioned provisions in the agreement of contracted service provider (second party).
Upon process of traffic violation collection, which takes place during contracting period with contracted service provider approved drivers, second party contracted service provider will bear all violation fees and fines to his account, regardless to traffic penalty fees or classification.
EARLY ARRIVAL THAN EXPECTED TRIP START TIME OR DESTINATION:
In event of driver early arrival than start time of the trip, no additional fees or values will be calculated, but it will be taken into consideration that – according to applicable terms & regulations – to enable user / client to use it for early start – based on his acceptance & if possible -, also, in event of driver early arrival to destination (before the expected time), will not be subject to financial obligations by user / client, but it will be taking into consideration in the Driver Trips record.

36. EXTEND OF SERVICE PERIOD

Upon ends of service, user / client will not able to extend service period by one side, this entails new service registration with documented approval of service provider and supplier. Or user / client agrees to provide services with another car if service provider doesn’t agree –for any reason- to user / client request to extend service period – anyway – upon expiry of specified/defined service period in approved application. User / client leave the car at the specified destination location.
We commit to extend service request according to new service terms, and in event of that requested service application by user / client is approved necessary measures will be taken to provide service at the new agreed price as per approved request application.
User / client acknowledges that failure to leave the vehicle in-spite of ends of contracted trip, is constitutes a crime under the provisions of Criminal Code, and keeping vehicle or driver outside service period. Also, acknowledges and declare that he is aware that he cannot benefit from insurance, guarantees and legal rights after ends of required service period and / or during illegal use of vehicle in event of extension request, during reservation period after the start date of required service period, price will be reviewed / recalculated by system, additional amount will be deducted from user / client credit, debit card or accepted payment partner which specified in beginning of his account.

37. REQUEST OF CANCELLATION AND REFUND

Reservations can be cancelled (24) hours prior to due reservation date & time, no fees will be charged in this case. In case of Pre-Booking situation, if cancellation request was less than (24) hours -considering reservation request details-, cancellation and no-show fees will be deducted OR debited to the Client account at the discretion of “CABBY” for ELECTRONIC SERVICES CO. L.L.C., and balance will be refunded to specified card in service request (within a period of: three to five working days).

38. APPLICATION OF ABSENCE (NO-SHOW)

In event of absence (no-show) at the specified start time of the trip as in reservation request, trip status will be turn to no-show after 10 minutes, and no car from any group will be guaranteed and user / client reservation will be cancelled in the event of absence (no-show), in both scenarios: with a call for notification or without.

39. NOTICE

arrival & waiting period:
upon reaching the Customers’ specified location, a notification will be sent to the mobile application to inform the customer that the Driver has arrived at the required destination. Driver will wait for the customer for a grace period of Five (5) minutes, if customer doesn’t respond to the Driver and fail to present within this five (5) minutes period, driver is authorized to leave and be free to accept another ride request.
Waiting Charges:
If the customer arrives late, he should notify the driver that they are running late (either through Application chat or through phone-call). In such cases, waiting charges will be applicable @(AED.0.50) per minutes, starting from the 6th minute upon the customers’ late arrival and confirmation of their ride.
Cancellation Charges:
In event of further delay or if the customer anticipates not being able to board within the frame of Ten (10) minutes time-line, driver should contact the customer to inquire about the situation. If customer doesn’t board within the ten (10) minutes from driver arrival time, cancellation charges will be applicable @(AED.15.60) plus waiting charges. Customer will be notified that the ride is cancelled and cancellation charges will be applicable @(AED.15.60) plus waiting charges.
Split Fare:
If customer choose to split fare among multiple individuals, a convenience fee of (1.60%) Plus fixed fees of (0.25 Fills), will be applied to each individual’s shared amount.
